Terms and Conditions

Welcome to iLands.

These Terms and Conditions (“Terms”) govern your access to and use of the iLands mobile application, website, services, software, cloud infrastructure, and related products (collectively, the “Services”) provided by  TK Array Lands Corp.⁠ (“TK Array Lands”, “we”, “our”, or “us”).

By accessing or using iLands, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Services.

If you are using iLands on behalf of an organization, Indigenous Nation, community, government agency, corporation, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Description of Services

iLands is an environmental intelligence platform that may include:

  • Environmental field data collection

  • Wetland monitoring

  • Wildlife monitoring

  • Traditional Knowledge documentation

  • Field camera integrations

  • Mapping and geospatial visualization

  • Offline data collection

  • Cloud synchronization

  • Environmental scoring and analytics

  • Report generation

  • GIS exports and imports

  • Collaboration and sharing tools

  • Artificial intelligence-assisted features

  • Hazard and environmental monitoring tools

Features may change, be added, removed, or modified at any time.

3. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your credentials;

  • Restricting unauthorized access to your account;

  • Ensuring all information provided is accurate and current;

  • Activities occurring under your account.

You must notify us immediately if you suspect unauthorized access.

4. User Content

You retain ownership of content that you submit to iLands, including:

  • Field observations

  • Photos

  • Videos

  • Traditional Knowledge records

  • Wildlife records

  • Geospatial data

  • Reports

  • Notes

  • Attachments

You grant TK Array Lands a limited license to host, store, process, synchronize, back up, secure, transmit, and display such content solely for providing and improving the Services.

5. Indigenous Knowledge and Sensitive Data

Certain content may contain Indigenous Knowledge, culturally sensitive information, sacred information, traditional ecological knowledge, or confidential community data.

Users are solely responsible for:

  • Obtaining necessary permissions;

  • Ensuring lawful collection and sharing;

  • Complying with community protocols;

  • Complying with applicable laws and agreements.

TK Array Lands does not claim ownership of Indigenous Knowledge uploaded by users.

Users acknowledge that they are responsible for determining what information may appropriately be recorded, shared, exported, or disclosed.

6. Environmental and Scientific Disclaimer

iLands provides informational tools only.

Environmental scores, hazard ratings, wildfire indicators, weather information, wildlife classifications, AI-generated outputs, maps, reports, recommendations, and analytics:

  • May contain errors;

  • May be incomplete;

  • May not reflect current conditions;

  • Should not be relied upon as the sole basis for decisions.

iLands does not provide:

  • Engineering advice;

  • Legal advice;

  • Regulatory advice;

  • Emergency response services;

  • Professional environmental certification.

Users remain solely responsible for all decisions and actions taken using information provided through the Services.

7. Artificial Intelligence Disclaimer

Some iLands features may use machine learning, computer vision, classification systems, predictive models, or artificial intelligence technologies.

AI-generated outputs are estimates only.

TK Array Lands makes no guarantee regarding:

  • Accuracy;

  • Reliability;

  • Completeness;

  • Fitness for a particular purpose.

Users must independently verify all results before relying upon them.

8. Mapping and Location Services

Maps, satellite imagery, geospatial layers, weather layers, hazard layers, and third-party mapping services may originate from external providers.

TK Array Lands:

  • Does not guarantee accuracy of third-party mapping data;

  • Is not responsible for outages or inaccuracies from external providers;

  • Does not warrant uninterrupted availability of mapping services.

Location information may be inaccurate due to device limitations, signal conditions, or third-party services.

9. Data Synchronization and Backups

While iLands may provide cloud synchronization and backups, users remain responsible for maintaining their own backups of critical information.

TK Array Lands does not guarantee that:

  • Data will never be lost;

  • Synchronization will always succeed;

  • Files will remain permanently accessible.

Users should regularly export and back up important records.

10. Acceptable Use

You agree not to:

  • Violate applicable laws;

  • Upload unlawful content;

  • Upload malicious code;

  • Attempt unauthorized access;

  • Reverse engineer the Services;

  • Interfere with operation of the Services;

  • Circumvent security measures;

  • Impersonate others;

  • Upload content you do not have rights to use.

11. Subscription Services

Certain features may require a paid subscription.

Subscriptions may:

  • Renew automatically;

  • Be billed through Apple or other authorized providers;

  • Be modified with notice where permitted by law.

Failure to maintain an active subscription may limit access to certain features.

12. Service Availability

The Services are provided on an “as available” and “as is” basis.

We do not guarantee:

  • Continuous availability;

  • Uninterrupted operation;

  • Error-free performance;

  • Compatibility with all devices.

Maintenance, outages, third-party failures, or network disruptions may affect availability.

13. Third-Party Services

iLands may interact with third-party providers including:

  • Mapping providers

  • Cloud providers

  • Mobile operating systems

  • Authentication providers

  • Weather providers

  • Camera manufacturers

  • GIS software platforms

TK Array Lands is not responsible for the actions, services, availability, or content of third-party providers.

14. Intellectual Property

Except for User Content, all intellectual property rights in the Services remain the property of TK Array Lands Corp.

This includes:

  • Software

  • Source code

  • Designs

  • User interfaces

  • Databases

  • Logos

  • Trademarks

  • Documentation

  • Environmental scoring methodologies

No ownership rights are transferred to users.

15. Limitation of Liability

To the fullest extent permitted by law, TK Array Lands Corp, its officers, directors, employees, contractors, affiliates, partners, licensors, and suppliers shall not be liable for:

  • Indirect damages;

  • Incidental damages;

  • Consequential damages;

  • Loss of profits;

  • Loss of revenue;

  • Loss of business opportunities;

  • Loss of data;

  • Environmental decisions;

  • Regulatory decisions;

  • Scientific conclusions;

  • Operational interruptions.

In no event shall our total liability exceed the amount paid by the user for the Services during the twelve (12) months preceding the event giving rise to the claim.

16. Regulatory, Compliance, and Professional Use Disclaimer

iLands may generate, display, export, store, synchronize, or share environmental records, maps, reports, geospatial datasets, images, videos, hazard assessments, wildlife observations, Traditional Knowledge records, environmental intelligence outputs, artificial intelligence-assisted analyses, and other information.

Users acknowledge and agree that:

  • iLands is a software platform and not a regulatory authority, environmental consulting firm, engineering firm, surveying firm, legal adviser, or professional certification body.

  • TK Array Lands Corp does not certify, validate, verify, endorse, or guarantee the accuracy, completeness, scientific validity, legal sufficiency, regulatory acceptability, or fitness for any particular purpose of information generated, stored, displayed, exported, imported, synchronized, or shared through iLands.

  • Any reports, PDF exports, GIS datasets, GeoPackages, Shapefiles, maps, environmental assessments, hazard ratings, environmental scores, wildlife classifications, camera observations, or other outputs generated through iLands are provided for informational and operational purposes only.

  • Users remain solely responsible for reviewing, validating, and verifying all information before relying upon it for any purpose.

Users further acknowledge that TK Array Lands Corp is not responsible for:

  • Regulatory submissions;

  • Environmental permit applications;

  • Impact assessments;

  • Land-use decisions;

  • Resource management decisions;

  • Traditional Knowledge studies;

  • Scientific publications;

  • Legal proceedings;

  • Court proceedings;

  • Funding applications;

  • Government reporting;

  • Indigenous consultation processes;

  • Compliance reporting;

  • Professional opinions;

  • Environmental certifications; or

  • Decisions made using information obtained through iLands.

Any submission made to regulators, governments, Indigenous Nations, environmental agencies, funding organizations, courts, tribunals, clients, contractors, consultants, researchers, or third parties remains the sole responsibility of the user.

To the fullest extent permitted by law, TK Array Lands Corp shall not be liable for any loss, damages, penalties, fines, enforcement actions, permit denials, regulatory findings, project delays, contractual disputes, professional negligence claims, or other consequences arising from reliance upon information generated, stored, exported, imported, synchronized, displayed, or shared through iLands.

17. Indemnification

You agree to defend, indemnify, and hold harmless TK Array Lands Corp from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Services;

  • Your content;

  • Your violation of these Terms;

  • Your violation of applicable laws;

  • Claims relating to data you upload or share.

18. Suspension and Termination

We may suspend or terminate access to the Services at any time if:

  • These Terms are violated;

  • Security concerns arise;

  • Fraudulent activity is suspected;

  • Required by law.

Termination does not relieve users of obligations that accrued prior to termination.

19. Modifications

We may update these Terms periodically.

Continued use of the Services after updates constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
